Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the NeuronAlgo website, member dashboard, and downloadable Expert Advisor ("EA") software (together, the "Service"), operated by NeuronAlgo ("we", "us").

By creating an account, purchasing a license, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Definitions

• Robot / EA — a MetaTrader 5 Expert Advisor file distributed by NeuronAlgo, licensed for automated trade execution on a broker account you control.
• License Key / License Secret — the credential pair issued to your account that a Robot uses to verify entitlement with NeuronAlgo's licensing servers.
• Plan — a subscription tier (e.g. Free, Premium) or a one-time single-robot lifetime purchase, as described on our Pricing page.
• Account — your registered NeuronAlgo member account.

3. Eligibility & Accounts

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials, your License Key/Secret, and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

You are solely responsible for ensuring that your use of the Service — including any automated trading, brokerage relationship, and cross-border payment — complies with the laws and regulations applicable to you in your country of residence.

4. Description of Service

NeuronAlgo licenses pre-built, backtested algorithmic trading software (Expert Advisors) for the MetaTrader 5 platform, together with a member dashboard for license management, performance analytics, and account monitoring.

5. License Grant & Restrictions

Subject to your Plan and continued compliance with these Terms, NeuronAlgo grants you a limited, non-exclusive, non-transferable, revocable license to install and run each licensed Robot on trading accounts you control, using the License Key/Secret issued to your Account.

You may not: (a) resell, sublicense, rent, lease, or otherwise distribute a Robot or your License credentials to any third party; (b) reverse-engineer, decompile, or disassemble a Robot's compiled binary except to the extent such restriction is prohibited by applicable law; (c) circumvent, disable, or interfere with license-verification, security, or usage-limit mechanisms; or (d) use a Robot outside the scope of the Plan under which it was licensed (e.g. beyond a single-robot lifetime license's designated robot, or beyond an expired subscription's entitlement window).

Subscription-based (Premium+) access to included robots is licensed only for the duration of an active, paid subscription. Access to those robots ends automatically, without a grace period, at the moment the subscription lapses, is cancelled, or a renewal payment fails.

6. Plans, Fees & Payment

Current pricing for each Plan is published on our Pricing page and may change from time to time; changes will not retroactively affect a billing period you have already paid for. Subscriptions renew automatically at the then-current price unless cancelled before the renewal date. Single-robot lifetime purchases are one-time, non-recurring charges.

We accept payment via supported cryptocurrency networks and, where available, local payment methods. You are responsible for any network/gas fees and for any taxes applicable to your purchase.

7. Cryptocurrency Payment Terms

Where you pay using a supported cryptocurrency (currently USDT on the networks displayed at checkout, such as TRC-20 and BEP-20), the following apply in addition to Section 6:

• Irreversibility. Blockchain transactions are irreversible once confirmed on their network. NeuronAlgo cannot reverse, cancel, or recall a cryptocurrency payment once broadcast. This does not limit the 30-Day Runs-or-Refund Guarantee in Section 8: where a refund is due, it is issued as a new outbound payment as described there, not as a reversal of your original transaction.
• Your responsibility. You are solely responsible for sending the exact amount, on the correct network, to the address and within the time window shown at checkout. Payments sent on the wrong network, to the wrong address, or after an invoice has expired may be unrecoverable, and NeuronAlgo is not liable for such losses.
• Price/exchange-rate volatility. The USD-equivalent value of a cryptocurrency payment is fixed at the time the invoice is generated; we do not compensate for price movements between invoice generation and network confirmation.
• Confirmation thresholds. Access is activated automatically once your payment reaches the confirmation threshold for its network, as published in our payment instructions.

8. Refunds & Cancellation

30-Day Runs-or-Refund Guarantee. Every paid Plan is covered by our 30-day "Runs-or-Refund" Guarantee: if a licensed Robot fails to install, activate with your License Key/Secret, or execute its strategy as demonstrated in our materials on a supported environment — MetaTrader 5, on a broker account and account type meeting the published requirements for that Robot, set up according to our published instructions — contact support (Section 20) within thirty (30) days of your original purchase. If our support team cannot get the Robot running within a reasonable troubleshooting period after you give us the information needed to diagnose the issue, we will refund the full purchase price.

Scope of the Guarantee. The Guarantee covers the Robot failing to run as demonstrated. It does not cover dissatisfaction with trading performance, profitability, or results (no profit is promised or implied — see Section 9), losses incurred while trading, broker-side restrictions or execution issues, unsupported platforms or account types, or failures caused by modified Robot files or configuration contrary to our instructions. The Guarantee applies once per customer per product and to the initial purchase only, not to subsequent subscription renewal periods. Upon refund, the associated License Key/Secret is revoked and your right to use the Robot ends. The Guarantee is in addition to, and does not limit, any non-waivable rights you have under applicable consumer law.

How crypto refunds are paid. Because confirmed blockchain transactions cannot be reversed (Section 7), an approved refund of a cryptocurrency payment is issued as a new outbound payment in USDT, on a supported network, to a wallet address you provide, in an amount equal to the USD value of your purchase at the time your original invoice was generated.

Outside the Guarantee. Except as provided by the Guarantee above or as required by applicable law, sales are final once a License Key/Secret has been issued or a Robot file has been downloaded, because these are digital goods delivered instantly and irrevocably. You may cancel an auto-renewing subscription at any time from your Account & Plan dashboard; cancellation takes effect at the end of the current paid billing period, and we do not provide partial-period refunds.

9. Risk Disclosure — Trading & Automated Systems

Hypothetical and backtested performance limitations. Backtest results, equity curves, and any performance figures shown on this Service are hypothetical or simulated using historical data. Hypothetical performance results have inherent limitations: they are prepared with the benefit of hindsight, do not reflect actual trading or the impact of real market liquidity, slippage, requotes, or broker execution quality, and no representation is made that any account will or is likely to achieve profits or losses similar to those shown.

No guarantee of results. Past performance — whether live, backtested, or simulated — is not indicative of future results. Market conditions change, and a strategy that performed well historically may perform poorly, or lose money, going forward.

Not investment advice. Nothing in the Service constitutes investment, financial, legal, or tax advice, or a recommendation or solicitation to buy or sell any financial instrument. You are solely responsible for your own trading and investment decisions.

Your responsibility for execution. You are solely responsible for selecting your broker, VPS/hosting, account type, leverage, position sizing, and risk-management settings. NeuronAlgo does not monitor your live account, does not intervene in your trades, and is not responsible for losses arising from broker outages, execution issues, connectivity loss, incorrect configuration, or market events (including news releases, gaps, or extreme volatility).

Regulatory status. NeuronAlgo is not a registered broker-dealer, futures commission merchant, commodity trading advisor, or investment adviser in any jurisdiction. You are responsible for determining whether use of automated trading software and any related payment method is lawful in your jurisdiction before you use the Service.

10. Acceptable Use

You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to our systems or another user's account; interfere with or disrupt the integrity or performance of the Service; or use the Service to develop a competing product using our proprietary Robots, source code, or licensing infrastructure.

11. Intellectual Property

The Service, including all Robots, source code, documentation, trademarks, and content, is owned by NeuronAlgo and/or its licensors and is protected by copyright and other intellectual property laws. These Terms grant you only the limited license described in Section 5; no other rights are transferred.

12. Third-Party Services

The Service integrates with third-party platforms and networks we do not control, including the MetaTrader 5 platform (MetaQuotes), your chosen broker, payment processors, and public blockchain networks. We are not responsible for the availability, performance, security, or terms of any third-party service.

13. Disclaimer of Warranties

Except for the express 30-Day Runs-or-Refund Guarantee in Section 8, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service (or any Robot) will be uninterrupted, error-free, secure, or profitable.

14. Limitation of Liability

To the maximum extent permitted by law, NeuronAlgo and its officers, employees, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or trading capital, arising from your use of the Service. NeuronAlgo's total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the total fees you paid to NeuronAlgo in the twelve (12) months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold NeuronAlgo harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your trading activity, or your violation of these Terms.

16. Termination

We may suspend or terminate your access to the Service, including revoking your License Key/Secret, if you violate these Terms, engage in fraudulent or abusive activity, or if required by law. You may stop using the Service and cancel your subscription at any time. Sections that by their nature should survive termination (including Sections 9, 11, 14, 15, and 18) will survive.

17. Sanctions & Export Compliance

You represent that you are not located in, or a resident of, any country or region subject to comprehensive trade sanctions, and that you are not on any restricted-party list, where such use would violate applicable export-control or sanctions laws. We may restrict or deny access to the Service where required to comply with applicable law.

18. Governing Law & Disputes

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the Service, are governed by the laws of the jurisdiction in which the operator of the Service has its principal place of business, without regard to conflict-of-law rules. Nothing in this Section deprives you of the protection of any mandatory consumer-protection rules of the country in which you reside that cannot be waived by contract.

Informal resolution first. Before initiating any formal proceeding, you agree to contact us at [email protected] with a description of the dispute and give us at least thirty (30) days to work with you in good faith to resolve it informally. Most concerns can be resolved this way, quickly and at no cost.

Forum. Any dispute that cannot be resolved informally shall be brought exclusively before the courts having jurisdiction at the operator's principal place of business, unless a mandatory provision of applicable law grants you the right to bring proceedings in another forum. If any part of this Section is found unenforceable, the remainder of this Section and these Terms remains in full force and effect.

19. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced via the dashboard or by email at least 7 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
